Terms and Conditions

1. Introduction and Acceptance

Welcome to Centrl Studio (“Platform”), a SaaS product operated by Sajal Ghatpande, a sole proprietor based in Pune, Maharashtra, India. By accessing or using the Platform in any capacity — whether as a visitor, trial user, or paid subscriber — you agree to be legally bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you must discontinue use of the Platform immediately. You must be at least 18 years of age and an authorized representative of the business you are registering on the Platform. By completing registration, you represent and warrant that you meet these requirements and have the authority to bind your business to these Terms.

2. Description of Services

Centrl Studio provides a cloud-based studio management platform designed for yoga studios, dance academies, fitness centres, Pilates studios, and similar wellness businesses in India. Core features include:

• Student and member record management
• Class scheduling and attendance tracking
• Membership and subscription plan management
• GST-ready invoicing and payment collection
• WhatsApp automation for fee reminders and renewals
• Instructor and staff access management
• Reporting and operational analytics

Services are provided on an “as is” and “as available” basis. We reserve the right to add, modify, suspend, or remove features at any time without prior notice. Material changes that affect core billing or data retention will be communicated with reasonable advance notice.

3. Subscription and Payments

Access to the Platform's paid features requires an active subscription. Subscription fees are billed in advance on a monthly or annual cycle depending on your chosen plan.

All payments are processed through Razorpay, a third-party payment gateway regulated under applicable Indian financial regulations. By subscribing, you authorize Centrl Studio and Razorpay to charge your selected payment method for the applicable subscription amount on each renewal date.

Subscription fees are non-refundable except as expressly provided in our Refund Policy at centrlstudio.com/refund. If a payment fails, your account may be automatically downgraded or suspended until the outstanding balance is cleared. Continued non-payment beyond 7 days of the due date may result in account termination and deletion of associated data per the timeline in our Privacy Policy.

4. Acceptable Use

You agree not to use the Platform to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform
• Scrape, crawl, or extract data in bulk without our written permission
• Resell, sublicense, or otherwise provide third-party access to the Platform
• Conduct any activity that violates applicable Indian law or any other applicable law
• Upload or transmit content that is defamatory, obscene, harassing, fraudulent, or otherwise unlawful
• Introduce malicious code, viruses, or any software intended to damage or disrupt the Platform
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Violations of these Acceptable Use requirements may result in immediate suspension or termination of your account without refund and without prior notice. We reserve the right to report illegal activity to appropriate authorities.

5. Data Ownership and Responsibility

You retain full ownership of all data you upload to the Platform, including student records, attendance logs, enrollment details, and payment information (“Your Data”).

By uploading Your Data to the Platform, you grant Centrl Studio a limited, non-exclusive, royalty-free license to store, process, and use Your Data solely for the purpose of delivering the Platform services to you. We do not claim any ownership over Your Data.

You are solely responsible for obtaining all necessary consents, permissions, and legal bases required under applicable Indian law — including but not limited to the Digital Personal Data Protection Act, 2023 — before uploading personal data about your students, clients, or staff to the Platform. Centrl Studio acts as a data processor on your behalf; you remain the data controller with respect to your students' personal data.

6. WhatsApp and Communication Features

The Platform provides WhatsApp automation capabilities powered by Meta's WhatsApp Business Cloud API. These features allow you to send templated messages to your students and members for purposes such as fee reminders, renewal notifications, and schedule updates.

You acknowledge and agree that:

• You are solely responsible for ensuring that your WhatsApp communications comply with Meta's WhatsApp Business Policy, Meta's Commerce Policy, and all applicable Indian telecom regulations including TRAI guidelines on commercial communications
• You are responsible for ensuring that recipients of your WhatsApp messages have opted in to receive such communications from you
• Centrl Studio is not liable for message delivery failures, delays, undelivered messages, template rejections by Meta, or any restrictions, suspensions, or bans imposed on your WhatsApp Business Account by Meta
• Meta's policies may change and may affect the availability or functionality of WhatsApp features on the Platform

7. Intellectual Property

All rights, title, and interest in and to the Platform — including its software, codebase, user interface design, logos, trademarks, branding, product names, documentation, and all other proprietary materials — are and remain the exclusive property of Centrl Studio and Sajal Ghatpande.

These Terms do not grant you any ownership interest in the Platform. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business operations during your active subscription period.

You retain ownership of Your Data at all times. The license you grant us over Your Data is limited to what is necessary to provide, maintain, and improve the Platform services as described in Section 5.

8. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Centrl Studio and Sajal Ghatpande shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, arising out of or in connection with your use of the Platform.

In no event shall Centrl Studio's total cumulative liability to you for any and all claims exceed the total subscription fees actually paid by you in the three calendar months immediately preceding the event giving rise to the claim.

Centrl Studio is not liable for any losses, damages, or service disruptions caused by third-party integrations or services including but not limited to Razorpay (payment processing), Meta / WhatsApp Business API (messaging), Supabase (database infrastructure), Resend (email delivery), or Vercel (platform hosting). These services operate under their own terms and are beyond our operational control.

9. Indemnification

You agree to defend, indemnify, and hold harmless Centrl Studio, Sajal Ghatpande, and any affiliates, agents, or representatives against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Platform
• Your collection, storage, or processing of personal data of your students, clients, or staff, including any failure to obtain required consent
• Your WhatsApp communications sent through the Platform, including any violations of Meta's policies or applicable telecom regulations
• Your violation of any provision of these Terms
• Any claim by a third party arising from your use of the Platform

10. Termination

Either party may terminate the subscription at any time. You may cancel your account through your account settings. Upon cancellation, your access to paid features will continue until the end of your current paid billing cycle, after which your account will be downgraded or deactivated.

Centrl Studio reserves the right to suspend or terminate your account immediately and without prior notice for:

• Non-payment of subscription fees beyond the grace period
• Material violation of the Acceptable Use policy
• Fraudulent activity or misrepresentation
• Legal risk or regulatory requirement

Upon account termination, your data will be retained for 90 days to allow export, after which it will be deleted as described in our Privacy Policy. Billing records will be retained for 7 years as required by Indian tax law.

11. Force Majeure

Centrl Studio shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to internet or telecommunications outages, power failures, acts of government or regulatory authority, natural disasters, civil unrest, third-party service provider outages, or any other event constituting a force majeure. In such circumstances, our obligations are suspended for the duration of the event.

12. Amendments to These Terms

We may update these Terms from time to time. For material changes — those that affect your rights, billing, or data — we will provide at least 7 days' advance notice via email to your registered address or via an in-app notification.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms, including any questions regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
